Officer Responsibility Descriptions

All officers, committee chairpersons & committees must be Industry Council Members in good standing.

President - Carol Anderson - Maxar Technologies

  • Requires that the position be held by a member who has previously served on the Board or is currently serving on the Board and employed by a Corporation that currently has a Small Business Subcontracting Program and that he/she is the Corporate Representative or has been especially appointed to represent said Corporation for their Small Business Subcontracting Program. He/she must be kept up to date on current information concerning the Corporation's Small Business Subcontracting Program.
  • Ensures the effective action of the Board in governing and supporting the organization and oversees board affairs;
  • Develops agendas for Board meetings in collaboration with Board members;
  • Attends and presides at meetings of the Executive Committee (Board of Directors) and of the members (usually monthly business meetings);
  • Coordinates and plans with each Board Member;
  • Collaborates with Chief Financial Officer to prepare an annual budget for Board;
  • Represents the organization to the community;
  • Pursues prospective large corporate membership and sponsorships when there is no Chairman of the Board;
  • Directs and preserves the Council's Mission and Purpose;
  • Appoints Directors, Chairpersons, Committees as needed;
  • Selects person(s) responsible for ICSBD mail pickup and storage rental facility maintenance.

President Elect (Currently Open)

  • Requires that the position be held by a member who is employed by a Corporation that currently has a Small Business Subcontracting Program and that he/she is the Corporate Representative or has been especially appointed to represent said Corporation for their Small Business Subcontracting Program. He/she must be kept up to date on current information concerning the Corporation's Small Business Subcontracting Program.
  • Attends all Executive Committee meetings;
  • Assists and oversees special projects as directed by the President;
  • Collaborates with the President and all other Board members;
  • Reviews and updates Officer Responsibility Descriptions and presents proposal to Board of Directors if needed;
  • Appoints a Nominating Chairperson /Committee
    • Calls for nominations;
    • Produces and sends slate of nominations to Council members;
    • Tallies and presents votes to the Board;
  • Announces and sends new slates to members;
  • Performs all the duties of the President as the Bylaws may prescribe in the absence or disability of the President and/or Chairman of the Board;
  • President Elect will take on the Presidency when the yearly term is up for the following year.

Vice President, Programs - Jayati Goel and Ranjani Mohana

  • Attends all Executive Committee meetings;
  • Maintains and oversees Council Programs for the monthly meetings and other Programs, i.e., educational seminars and monthly table-top exhibits;
  • Collaborates with the President and all other Board members;
  • Promotes programs for the inclusion of the larger corporate members as well as the small business members;
  • Seeks high-profile personalities to be guest speakers for selected monthly meetings;
  • Coordinates with the meeting facility personnel on room requirements, AV, etc. and notifies the CFO of any additional financial charges incurred;
  • Performs all the duties of the President as the Bylaws may prescribe in the absence or disability of the President and/or Chairman of the Board and the President-Elect.
  • Sends thank you notes/letters to speakers;

Vice President, Marketing - Indu Jayakumar

  • Attends all Executive Committee meetings;
  • Collaborates with the President and all other Board members;
  • Manages and Maintains the website
  • Manages content on Facebook, Twitter, Instagram
  • Manages content on the website constantly updating it with monthly events/photos etc.
  • Manages email communication from the website and social media
  • Manages Email Campaigns to a large database - putting together email content and managing the subscriptions
  • Manages all membership renewals via the website
  • Support for member login and profile on the website
  • Recommends and appoints with Board approval Mini-Trade Fair Committee Chairperson:
    • Organizes committee volunteers;
    • Collaborates with all the Board Members;
    • Reviews with Mini-Trade Fair Committee Chairperson the proposed Trade Fair budget to be presented to the Board for approval.
    • Seeks guest speakers for mini trade fairs.
  • Coordinates with Public Relations the sending of meeting or trade show notices to community publications;
  • Coordinates with Public Relations and VP, Programs meeting notices and announcements for events for members and prospects;
  • Coordinates with Chief Information Officer in placing the meeting notices and announcement for events and prospects and any other publication that will be placed on the ICSBD website.
  • Develops a marketing plan to promote the Council for the year and beyond.
  • Develops stationary and marketing materials in collaboration with the President and all other Board members.
  • Creates "New Member Packet" to download from the ICSBD Website for new members.

Vice President, Public Relations - Ranjani Mohana, Babi Thappar

  • Attends all Executive Committee meetings;
  • Maintains and oversees Public Relations;
  • Creates Public Relations' opportunities;
  • Creates notices and announcements for events for members and prospects;
  • Sends meeting or trade show notices to community publications;
  • Collaborates with the President and all other Board members on the above created opportunities;
  • Provides recognition for members of the organization who receive outside awards:
    • Posts on Website;
    • Announces and introduces honored members at meeting;
  • Appoints Public Relations' Committee Chairperson to assist in performing the above responsibilities;
  • Pursues prominent media and news publications for membership and / or coverage for special speaker and trade fairs;
  • Coordinates with Vice President, Programs in acquiring media and/or news publications speakers for special events or programs;
  • Invites prominent elected officials and keeps them informed about ICSBD meetings and special events.

Chief Information Officer - Maitjian Welke

  • Attends all Executive Committee meetings;
  • Maintains and oversees the Council's Website and Webmaster with website additions, changes, and deletions to be approved by the cognizant Board Members;
  • Collaborates with the President and all of the Board of Directors;
  • Continuously updates the technology to create a website that reflects the Silicon Valley edge;
  • Includes on the website the following base:
    • News - Luncheon, Trade Fair, Member Awards, Newsletter;
    • Calendar - Luncheon, Trade Fair, other alliance dates
    • Reservations - Luncheon, Trade Fairs and Credit Card Link
    • Links - Member Websites linked to other organizations
    • About Council - Mission and General Purpose
    • Contact Us - Inquiries
    • Members - Membership Application, Membership Benefits, Member Businesses' Website Links and Member Directory

  • Appoints the Newsletter Committee Chairperson and oversees newsletter generation.

Secretary - Susan Koepp-Baker

  • Attends all Executive Committee meetings;
  • Maintains a Book of Minutes of all meetings, proceedings and actions of the Board, the Board's committees, and monthly council meetings which shall include the following:
    • Time
    • Place the meeting was held
    • Names of those present
    • Proceedings of meeting
  • Distributes minutes at Board Meetings and at the Monthly Council meetings;
  • Keeps a copy of the Articles of Incorporations and Bylaws, as amended to date;
  • Keeps the seal of the corporation in safe custody;
  • Provides notice to meetings for the members;
  • Provides notice to meetings for the Board of Directors and committees;
  • Appoints Luncheon Committee Chairperson for Monthly Council Luncheon meetings;
    • Reservation check-in at the beginning of meetings or trade fair;
    • Set up of luncheon location, coordination with site management, menu, etc. and coordination with Board members;
  • Receives reservations for the member luncheon meetings and mini trade fairs and coordinates receipt of monies collected with Chief Financial Officer.
  • Appoints committee volunteer to attend Executive Board meetings and monthly council luncheon meetings for business recordings if absent from meeting;
  • Maintains records of Council;
  • Prepares agenda for Board of Directors' meeting and monthly meeting as directed by the President;
  • Shall have other powers and duties as prescribed by the Board of Directors.

Chief Financial Officer - Gerald Johnson

  • Attends all Executive Committee meetings;
  • Keeps and maintains adequate and correct financial records for the corporation for the following:
    • Council business transactions of the corporation which include: Its assets, liabilities, receipts, disbursements, gains, losses, capital, retained earnings and other matters included in financial statements;
    • Deposit and disbursement of money and valuables in the name and to the credit of the corporation with such depositories as may be designated by the Board;
  • Provides to the President and Board a monthly financial statement of all CFO transactions along with the financial condition of the corporation;
  • Coordinates Council collection of membership dues with Vice President of Membership;
  • Coordinates with the Secretary on monies collected for luncheon meetings and mini trade fairs and any other collections of monies;
  • Oversees the filing of financial payments to the government including annual tax returns;
  • Collaborates with the President to create an annual budget for Board approval;
  • Gives (if required) to the corporation a bond in accordance with the present ICSBD Bylaws Article VII., Section 7, RESPONSIBILITIES (e) (iii) Bond.
  • Selects and meets with (Board's approval) an outside auditing firm to independently audit the books and records of the corporation on an annual basis and provides a balance sheet as of the end of the fiscal year and an income statement and statement of changes in the financial position for the fiscal year;
  • Assists with and reviews any other financial matters deemed necessary throughout the year.

Vice President, Membership - Marc Albin

  • Attends all Executive Committee meetings;
  • Maintains and oversees membership and membership prospect applications and records in collaboration with the Council Secretary and Chief Financial Officer;
  • Receives and records membership collateral to be turned over to the Chief Financial Officer for deposit;
  • Oversees the development, maintenance and distribution of the membership directory;
  • Promotes corporation's membership in collaboration with the President and all other Board members;
  • Sends WELCOME letter to new members via e-mail with instructions regarding the "Member Website Password" that will enable the new member to download "New Member Packet" created by Marketing;
  • Appoints Membership Committee Chairperson to assist in performing above responsibilities.
  • Attends all Executive Committee meetings and reports on status of memberships and sponsorships
  • Collaborate with the Board, Members, and prospective members, to always be recruiting new members and Corporate Sponsorships
  • Send Welcome email to new members, that includes monthly luncheon meeting information and other member benefits
  • Work with Web Master to insure that new members receive e-mail with instructions regarding the Member Website Username & Password
  • Keep track of the member database, including members, prospective members, and past members
  • Send notifications to members that are expiring regarding membership renewal. Encourage them to renew their membership.
  • Receive information from CFO regarding check deposits, and record when a member pays by check and update membership database accordingly
  • Assist VP of Events with registration and keeping track of new members, non-members, and the creation of their new name tags
  • Appoint/Recruit a "Large Corp Membership Liaison" to assist with recruiting representatives from Large Corporations to join ICSBD
  • Oversee the development and maintenance of the membership directory that is part of the ICSBD web site
  • Work with all Members and the Board to explore and continue to create new Member-Benefits that keep the organization on the forefront of the changing economy.

Vice President, Events - Christina Cheung

  • Attends all Executive Committee meetings;
  • Maintains and oversees Council Programs for the monthly meetings and other Programs, i.e., educational seminars and monthly table-top exhibits;
  • Collaborates with the President and all other Board members;
  • Promotes programs for the inclusion of the larger corporate members as well as the small business members;
  • Arranges Event Venue, takes care of all Event Duties
  • Coordinates with the meeting facility personnel on room requirements, AV, etc. and notifies the CFO of any additional financial charges incurred;
  • Performs all the duties of the President as the Bylaws may prescribe in the absence or disability of the President and/or Chairman of the Board and the President-Elect.
  • Sends thank you notes/letters to speakers;
  • Makes sure events go smoothly

Large Corp Liaison (Appointed Position by VP Membership - Non-Voting) (Currently Open)

  • Requires that position be held by a "Manager" or "Officer" of a large corporation involved with the Small Business Subcontracting Programs;
  • Attends executive Board meetings;
  • Pursues prospective large corporations to join the ICSBD Sponsorship Programs;
  • Pursues prospective large corporations to join as a Corporate Member if sponsorship is not possible;
  • Presides at meetings of the Advisory Council.
  • Interface with our Corporate Members and prospective Corporate Members, to ensure we are meeting their needs and stay on the forefront of providing our Corporate Members with "real value".
